These Terms & Conditions (“Terms”, “Terms and Conditions”) are a legally binding agreement between IVA AI OÜ (or “We”, “Us”, “Platform”, or “Service”), company code 14632685, and you, or if you represent an employer or client, then the employer or client (“You” or “Client”), governing your use of IVA AI OÜ’s web platform to deploy and manage autonomous sales agents (“Services”).

Conditions of Use

By accessing and using our platform, you accept and agree to be bound by the terms and provision of this agreement. In addition, when using our services, you shall be subject to any posted guidelines or rules applicable. Any participation in our service will constitute the acceptance of this agreement.

Your data will be kept private to the greatest extent allowed by law. Before you continue using our platform, we advise you to read our Privacy Policy regarding user data collection.

Communications

By using our platform, you consent to receiving electronic communications from us. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

All text, graphics, user interfaces, source code, photographs, trademarks, and logos present on the platform are owned, controlled or licensed by or to IVA AI OÜ and are protected by copyright, patent and trademark laws, and various other intellectual property rights.

Platform Usage

Users must give the platform access to their email server (Gmail, Outlook or other) with permissions to read, send and manage emails. The platform will only retrieve essential information necessary for the service to operate.

Our servers will only store emails that are sent through IVA AI OÜ autonomous agents and corresponding replies from the leads. All other emails that are not related to IVA AI OÜ services are never stored on our servers. No third party will access, read, or delete your emails.

Satisfaction Guarantee

We offer a satisfaction guarantee on our services. If you are not satisfied, please contact us, and we will work to address your concerns.

Pricing

Our pricing model involves one-off charges and subscription charges which are defined at the time of entering into the contract.

Cancellation

You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term.

Refunds

Please be aware that all payments for services provided by IVA AI OÜ are non-refundable. This also applies to cases where services are only partially used within a billing cycle.

Subscriptions renew automatically on the designated renewal date unless you, the Client, request a cancellation before the renewal is due. Please note, if you decide to terminate your subscription, no refund will be provided for any service that you have already paid for. You are free to stop using our services whenever you choose.

License and Platform Access

We grant you a limited license to access and make personal use of this platform. You are not allowed to download, modify, or resell the platform or its contents.

Termination

We hold the right to terminate your use of the IVA AI OÜ platform and deny you access to the platform at our sole discretion. Any fraudulent, abusive, or otherwise illegal activity may be grounds for terminating your relationship with IVA AI OÜ.

Liability

IVA AI OÜ will under no circumstances be liable for indirect or consequential damages of any kind, including and without limitation, loss of revenue, profits, business interruptions, or data loss. In other cases, IVA AI OÜ’s total liability is limited, all damages combined, to the amount paid by Client to IVA AI OÜ during the two (2) months preceding the date on which the damage occurred.

Changes to the Terms

We reserve the right to modify these terms from time to time at our sole discretion. Therefore, you should review these pages periodically. Your continued use of the platform after any change highlights your acceptance to the revised terms.
